This Expert Participation Offer (“Offer”) is an official proposal issued by
Sovium Ltd, a company incorporated under the laws of England and Wales, to enter into an Expert Participation Agreement (“Agreement”) under the terms set out below.

1. Purpose and Expert Status1.1. Expert status within Migration Club is granted exclusively by invitation to recognised professionals with proven expertise in migration services, international mobility, law, tax planning, or related fields.
1.2. Experts contribute to the intellectual and professional ecosystem of the Migration Club by sharing insights, knowledge, and industry-relevant perspectives.
1.3. Upon acceptance of this Offer, the Expert receives access to the club as a
Member with additional rights and responsibilities defined herein.

2. Rights and Benefits of the ExpertThe Expert receives:
2.1.
Complimentary one-year access to Migration Club under the terms of the Full Membership plan (including up to 3 Telegram accounts per company).
2.2. The opportunity to publish expert materials through Migration Club’s official communication channels, including Telegram, the website, Instagram, and other platforms.
2.3. The opportunity to participate as a
speaker in Migration Club events.
2.4. The right to use the title
“Migration Club Expert” in their professional activities.
2.5. Priority attention from the editorial team and community manager regarding expert-related topics.

3. Expert ObligationsTo maintain Expert status, the Participant undertakes the following obligations:
3.1. Community EngagementThe Expert agrees to actively engage in the professional life of the community, share insights, respond to questions, and contribute to meaningful discussions.
As a general guideline, the Expert is
kindly asked to provide at least one message, comment, or insight per month within Migration Club chats.
3.2. Monthly Content ContributionThe Expert agrees to provide
one piece of content per month (“Content”), which may take the form of:
- an article,
- an analytical note,
- a professional commentary,
- an audio message,
- an interview,
- responses to editorial questions,
- a video contribution (optional),
- or another mutually agreed format.
The Content may be published across any of Migration Club’s communication channels.
3.3. Participation in Club EventsThe Expert participates in the Club’s regular online events, including monthly resident meetings, in a reasonable and good-faith manner.
In addition, the Expert undertakes to participate
at least twice per calendar year in Club events in an active role (including as a speaker, roundtable participant, interviewee, Q&A participant, or in another agreed format) within their area of expertise.
The format and dates of such participation shall be agreed upon in advance.
3.4. Timeliness and QualityThe Expert provides all materials in a timely manner and upholds a high professional standard.

4. Verification4.1. Before receiving access, the Expert must complete the standard Migration Club verification procedure.
4.2. Verification includes the submission of professional information, confirmation of qualifications, and agreement to club rules.
4.3. The Company reserves the right to deny verification without providing reasons.

5. Code of Conduct and EthicsThe Expert agrees to:
• maintain respectful communication at all times;
• avoid aggression, harassment, or toxic behaviour;
• refrain from spam or unsanctioned advertising;
• protect the confidentiality of other Members;
• avoid publishing or promoting unlawful offers;
• refrain from any public or private statements or actions that may harm the reputation of Migration Club, Sovium Ltd, its staff, or other Members.
Violation of these rules may result in immediate termination of Expert status and removal from the club.

6. Rights of the CompanyThe Company is entitled to:
6.1. Edit, adapt, or format the Content without altering its core meaning.
6.2. Store and publish the Expert’s Content
permanently across any Migration Club media channels.
6.3. Use the Expert’s name, photograph, position, and publicly available information for promotional and presentation purposes.
6.4. Immediately revoke Expert status in cases of:
• lack of activity;
• failure to provide monthly content;
• failure to participate in required events;
• misconduct or violation of the Code of Conduct;
• any action causing reputational harm to Migration Club.
6.5. Amend this Offer with at least
14 days’ prior notice.

7. Intellectual Property7.1. The Expert retains authorship and intellectual property rights to all Content they provide.
7.2. The Expert grants the Company a
non-exclusive, perpetual licence to use, publish, edit, store, and distribute the Content for Migration Club purposes.
7.3. The Expert will be credited as the author unless otherwise agreed.

8. Confidentiality and Data Protection8.1. The Expert must keep confidential all non-public information obtained through Migration Club, including discussions, internal processes, and Member information.
8.2. The Company processes personal data in accordance with
UK GDPR and the
Data Protection Act 2018.

9. Limitation of Liability9.1. The Company is not liable for the Expert’s statements, recommendations, or professional activities.
9.2. The Expert is not liable for the actions of other Members.
9.3. All professional interactions occur at the sole risk of the involved parties.

10. Term and Termination10.1. Expert status is granted for a
12-month period.
10.2. Status may be extended by mutual agreement, subject to fulfilment of obligations.
10.3. The Expert may terminate participation at any time by notifying the Company via email.
10.4. The Company may terminate Expert status at any time if the Expert violates the terms of this Offer.

11. Anti-Corruption and Sanctions ComplianceThe Expert confirms compliance with:
• the UK Bribery Act 2010,
• the Sanctions and Anti-Money Laundering Act 2018,
• AML/CTF Regulations,
• applicable international sanctions regimes,
• and the laws of their own jurisdiction.

12. JurisdictionThis Offer is governed by the laws of England and Wales.
All disputes shall be resolved in accordance with the laws of England and Wales.
