1. General Provisions
1.1. This document constitutes a public offer (the “Offer”) for individuals and legal entities (hereinafter referred to as the “Client”) to enter into a service agreement with Indivíduo Empresário Nina Mayer, a sole proprietor registered in Portugal, for participation in the Migration Club.
1.2. Access to the club is granted exclusively to companies and professionals conducting lawful business activities in the field of migration, legal, or related services in accordance with the laws of their respective jurisdictions. The club reserves the right to deny access at its discretion if any violations or legal concerns arise.
1.3. Any activities or offers that violate the law are strictly prohibited, including (but not limited to) forged documents, sham marriages, and fraudulent ancestral claims for immigration or citizenship.
1.4. By submitting payment, the Client accepts this Offer and enters into a legally binding agreement. Immediate access is granted to the Migration Club’s private Telegram channels (English and/or Russian), followed by a mandatory verification process.

2. Subscription Plans and Payment Terms
2.1. The Migration Club offers two subscription plans:
• Monthly Individual – €100/month
Includes access for one Telegram account.
Payments by bank card are processed via recurring billing, which can be cancelled at any time before the next billing cycle.
Payments via USDT are processed manually and do not include automatic renewal.
• Annual Corporate – €1,200/year
One-time payment for 12 months.
Includes access for up to three Telegram accounts from a single organization.
No recurring billing.
2.2. Payments may be made via Visa/MasterCard or USDT cryptocurrency. All transaction fees are covered by the Migration Club. The Client pays only the amount specified in the selected plan.

3. Verification and Access
3.1. Upon payment, the Client receives immediate read-only access to the Migration Club’s private Telegram chats. Message sending is blocked until verification is completed.
3.2. The Client must complete a verification form within 24 hours of payment.
3.3. Upon successful verification:
• Messaging permissions are activated;
• The Client may post a welcome message;
• A community manager will contact the Client to schedule a brief onboarding call.
3.4. If the Client fails to complete verification within 24 hours, access will be revoked without a refund.
3.5. If the form is submitted but verification is denied by the club, access will be revoked and the payment will be refunded in full within 7 business days.

4. Refund Policy
4.1. Refunds are only available in the event of a rejected verification (see Section 3.5).
4.2. In all other cases, the service is considered fully rendered once access to the Telegram chats has been granted, in accordance with Article 16 of EU Directive 2011/83/EU (exceptions from the right of withdrawal).

5. Services and Member Rights
5.1. Subscription includes access to:
• A professional community of legal and migration experts;
• Thematic and regional Telegram chats/forums;
• Community manager support;
• Monthly online events and networking calls;
• Visibility via club’s social media accounts.
5.2. Members have the right to:
• Participate in discussions;
• Propose topics or initiatives;
• Find business partners and clients;
• Host their own events;
• Contact the community manager for support.

6. Community Rules and Restrictions
6.1. The following are strictly prohibited:
• Spam, harassment, or unauthorized advertising;
• Disclosure of other members’ confidential information;
• Promotion of illegal services or schemes.
6.2. Violation of these rules may result in immediate removal without refund.

7. Limitation of Liability
7.1. The Club shall not be held liable for:
• Any losses arising from information shared within the community;
• The actions of other members;
• The quality of services provided by other members.

8. Termination of Membership
8.1. The Client may terminate their membership at any time. No refunds will be issued for early termination.
8.2. The Club reserves the right to revoke access in case of non-compliance with these terms or non-payment.

9. Amendments
9.1. The Club may amend the terms of this Offer at any time, with at least 14 days’ prior notice.
9.2. Continued use of the Club’s services after changes are implemented constitutes acceptance of the new terms.

10. Privacy and Data Protection
10.1. The Club processes personal data in accordance with the General Data Protection Regulation (GDPR) and applicable Portuguese law.
10.2. Personal data is used solely for the purpose of delivering club services and is not shared with third parties without the Client’s consent, unless required by law.

11. Force Majeure
11.1. The Club and the Client shall not be held liable for delays or failures in performance due to force majeure events such as natural disasters, internet outages, sanctions, or other unforeseen circumstances.

12. Jurisdiction
12.1. All disputes arising out of this Offer shall be governed by the laws of Portugal.

13. Licenses and Professional Standards
13.1. The Client confirms that they possess all necessary licenses, certifications, or legal authority to provide services in their jurisdiction.
13.2. The Club reserves the right to request supporting documentation and to reject applicants lacking proper credentials.

14. Intellectual Property
14.1. Any content shared by members (messages, presentations, publications) remains the intellectual property of its author.
14.2. Such content may not be reused, distributed, or published commercially without the express permission of the author.

15. Anti-Corruption and Compliance
15.1. The Client confirms that their actions within the Club do not violate anti-corruption, anti-money laundering, or international sanctions laws.
